Terms of Service

These Terms govern your access to and use of the Blend platform, mobile applications and website. Please read them carefully. By using Blend, you agree to them.

1. Who we are

Blend FZC LLC (“Blend”, “we”, “us” or “our”) is a Free Zone Company registered with the Sharjah Publishing City Free Zone Authority, United Arab Emirates, Licence No. 4417899.01, of Business Centre, Sharjah Publishing City Free Zone, Sharjah, UAE. Blend operates event-technology, ticketing, registration, access-control and cashless-payment software provided through the Blend website and applications (together, the “Platform”).

2. Definitions

• Organizer: any person or entity that creates, lists, promotes, manages or hosts an Event using the Platform, and that sells tickets or admissions through it.
• Attendee or Buyer: any person who browses, registers, purchases a ticket or credential, tops up a cashless balance, or attends an Event through the Platform.
• User: any person who accesses the Platform, including Organizers and Attendees.
• Event: any event, experience, activity or admission listed or sold through the Platform by an Organizer.
• Credential: any ticket, QR code, pass, wristband, tag or other proof of entitlement issued through the Platform.
• Cashless: the top-up, wallet, and on-site payment features that allow Attendees to load and spend value at an Event.
• Content: any text, images, data, logos, listings or materials made available on the Platform.

3. Acceptance & eligibility

By accessing or using the Platform you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, Refund Policy and Cookie Policy, which form part of these Terms. If you do not agree, do not use the Platform.

You must be at least 18 years old, or the age of majority in your jurisdiction, and have full legal capacity to enter into a binding contract. If you use the Platform on behalf of an organization, you represent that you are authorized to bind that organization, and “you” includes that organization.

4. Our role as a platform

Blend provides software that enables Organizers to list Events, sell Credentials, process payments, control access and operate cashless services. Unless expressly stated in writing, Blend acts only as a limited payment and ticketing agent for the Organizer for the purpose of collecting Event proceeds and issuing Credentials.

Blend does not control and is not responsible for: the occurrence, cancellation, postponement, quality, safety, legality or content of any Event; an Organizer’s acts, omissions, statements or compliance with law; the accuracy of any Event listing; or any interaction between Attendees and Organizers. Any dispute concerning an Event is between the Attendee and the Organizer.

5. Accounts

• You must provide accurate, current and complete information and keep it updated.
• You are responsible for safeguarding your login credentials and for all activity under your account.
• You must notify us promptly of any unauthorized use. We are not liable for loss arising from your failure to secure your account.
• We may refuse, suspend or reclaim any account or username at our discretion, including for suspected fraud or breach of these Terms.

6. Attendees & buyers

• When you buy a Credential, you enter into a contract with the Organizer for the Event. Blend collects payment on the Organizer’s behalf.
• Credentials are issued subject to the Organizer’s own event terms, admission rules and capacity limits. It is your responsibility to review them.
• Credentials may not be resold, transferred for commercial gain, duplicated, tampered with, or used for advertising, competitions or promotions without the Organizer’s and Blend’s written consent. Breach may void the Credential without refund.
• Each Credential (including each seated ticket, general-admission ticket and add-on) generates a secured code; duplicated, screenshotted or fraudulent codes may be refused at the door.
• You are responsible for arriving with a valid Credential, for meeting any age, identification, health or conduct requirements set by the Organizer or venue, and for your own safety and belongings at the Event.

7. Organizers

If you use the Platform as an Organizer, you additionally agree that:

• You are the seller and the party responsible for your Event. You are solely responsible for delivering the Event, for its content, safety, staffing, permits, licences, insurance, taxes and compliance with all applicable laws.
• You are responsible for setting ticket prices, categories, admission terms, and your own refund and cancellation terms, and for honouring them.
• You grant Blend the right to list, display, process and fulfil your Events and to use your names, logos and Event materials for operating and reasonably promoting the Platform and your Event.
• You warrant that your Events, Content and data do not infringe any third-party right, breach any agreement, or violate any law, and that you have all rights and consents needed for the data you provide (including a lawful basis for any marketing or re-engagement of Attendees).
• You are responsible for refunds and chargebacks relating to your Events, as set out in the Refund Policy. Blend may set off, withhold or recover from Event proceeds (including future proceeds) any refunds, chargebacks, penalties, taxes or amounts owed to Blend.
• You will indemnify Blend as set out in Section 16 for any claim arising from your Event, your Content, your data practices, or your breach of these Terms.
• Settlement of Event proceeds is made to you net of Blend’s fees and any deductions above, on the settlement cycle notified to you, subject to fraud, dispute and compliance holds.

8. Cashless & on-site payments

• Cashless balances are a prepaid facility for spending at a specific Event or Organizer, are not a bank deposit, earn no interest, and are not legal tender or e-money unless expressly stated and licensed.
• Top-ups and on-site purchases are processed through third-party payment providers. Refunds of unspent balances, and any handling of unspent or unclaimed balances (breakage), follow the Organizer’s terms and the Refund Policy, subject to applicable law.
• You are responsible for the accuracy of your top-ups and transactions. Blend is not liable for on-site connectivity, hardware or third-party payment failures outside its reasonable control.

9. Fees, payments & tax

• Blend charges service and platform fees as displayed at checkout or agreed with the Organizer. Fees may be added to the ticket price and borne by the Buyer, or built into a final price, as configured for the Event.
• Payment processing is carried out by third-party processors. You authorize Blend and those processors to charge your selected payment method for the total shown, including applicable taxes.
• Prices may be shown in different currencies; conversion, bank and card charges are your responsibility.
• Blend’s service and platform fees are non-refundable except where required by mandatory law. See the Refund Policy.
• You are responsible for any taxes applicable to your use, and Organizers are responsible for the correct tax treatment of their Events and sales.

10. Refunds

Refunds are governed by the Refund Policy. In summary: the Organizer is responsible for refunds relating to its Event; Blend’s own fees are non-refundable except where mandatory law requires otherwise; and your mandatory statutory rights are not affected.

11. Acceptable use

You agree not to: use the Platform for any unlawful, fraudulent or harmful purpose; sell or list events you are not authorized to sell; circumvent fees, access controls or capacity limits; scrape, reverse-engineer, copy, or interfere with the Platform or its security; upload malware; misuse Credentials or codes; impersonate others; harvest data unlawfully; or use the Platform to compete with, benchmark against, or build a competing service. We may investigate and take action, including suspension, removal of Content, and referral to authorities.

12. Intellectual property

The Platform, and all software, design, text, graphics, trademarks and other materials provided by Blend, are owned by or licensed to Blend and are protected by law. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform for its intended purpose. You may not copy, modify, distribute, sell or create derivative works from any part of the Platform except as permitted by law.

You retain ownership of Content you submit, and grant Blend a worldwide, royalty-free licence to host, use, reproduce and display that Content as needed to operate, secure, improve and promote the Platform and your Events. You are responsible for your Content and warrant you have the rights to grant this licence.

13. Third-party services

The Platform integrates third-party services (including payment processors, mapping, messaging, analytics and advertising tools). Your use of those services may be subject to their own terms. Blend is not responsible for third-party services and does not endorse them. Links to third-party sites are provided for convenience only.

14. Disclaimers

To the fullest extent permitted by law, the Platform is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Blend does not warrant that any Event will take place as described, and gives no warranty in respect of any Organizer or Event. Nothing in this Section limits any warranty that cannot be excluded under mandatory law.

15. Limitation of liability

To the fullest extent permitted by law:

• Blend is not liable for any Event, or for the acts or omissions of any Organizer, Attendee, venue or third party.
• Blend is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profit, revenue, goodwill, data or opportunity, however caused.
• Blend’s total aggregate liability to you arising out of or in connection with the Platform or these Terms is limited to the greater of (a) the total service fees actually received by Blend from you in the three (3) months before the event giving rise to the claim; or (b) USD 100.
• These limits apply to all claims in aggregate, whether in contract, tort (including negligence), statute or otherwise.

16. Indemnity

You agree to defend, indemnify and hold harmless Blend, its affiliates, and their officers, managers, employees and agents from and against any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of or related to: your use of the Platform; your Events or Content (if you are an Organizer); your breach of these Terms or of any law; your data or consent practices; or your infringement of any third-party right.

17. Suspension & termination

We may suspend, restrict or terminate your access to the Platform, remove Content, or cancel Credentials or listings, at any time and without liability, where we reasonably believe there is fraud, risk, illegality, non-payment, or a breach of these Terms, or where required by law or a payment provider. You may stop using the Platform at any time. Sections that by their nature should survive (including IP, disclaimers, liability, indemnity, and governing law) survive termination.

18. Force majeure

Blend is not liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, war, civil unrest, epidemics or pandemics, governmental action, strikes, utility or telecommunications failures, or failures of third-party providers.

19. Privacy

Our handling of personal data is described in the Privacy Policy. By using the Platform you acknowledge that processing. Organizers act as independent controllers of the Attendee data generated by their Events and are responsible for their own compliance.

20. Changes

We may update these Terms from time to time. We will post the updated version with a new effective date and, where changes are material, take reasonable steps to notify you. Your continued use after the changes take effect constitutes acceptance.

21. Governing law & dispute resolution

These Terms, and any dispute arising out of or in connection with them or the Platform, are governed by the laws of the United Arab Emirates, without regard to conflict-of-law rules. The competent courts of the United Arab Emirates (or, where applicable to Blend’s free-zone seat, the relevant free-zone or Sharjah courts) have jurisdiction, and Blend may additionally seek urgent injunctive or interim relief in any competent jurisdiction to protect its rights.

22. General

• Entire agreement. These Terms, with the policies they incorporate, are the entire agreement between you and Blend regarding the Platform and supersede prior agreements.
• Severability. If any provision is unenforceable, the rest continues in full force.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
• Notices. We may give notice through the Platform or by email to your registered address.
• Language. The English version of these Terms prevails over any translation, except where local law requires otherwise.
